Submitting a quote request does not create a contract, guarantee service availability, or obligate KIA DEV SOLS LLC to accept the project.

After reviewing a request, we may contact the customer to discuss:

  • Deliverables

  • Estimated timeline

  • Payment requirements

  • Technical requirements

  • Other project conditions

A project becomes an official engagement only after the applicable proposal, quotation, agreement, statement of work, or other applicable documentation has been accepted by both parties.

Unless otherwise agreed in writing, third-party services such as:

may be billed separately or remain the customer’s responsibility.

Website performance may depend on third-party hosting providers, plugins, APIs, software, browsers, networks, or other technologies outside our control.

7. App and Software Development

For application and software projects, functionality will be based on the specifications agreed upon in the applicable project documentation.

Development timelines may depend on:

  • Project complexity

  • Customer feedback

  • Required integrations

  • Third-party APIs

  • App-store review processes

  • Hosting infrastructure

  • Testing requirements

  • Changes requested during development

Approval or publication by third-party app stores is not guaranteed by KIA DEV SOLS LLC.

8. Digital Marketing and SEO

Digital marketing and SEO services are intended to support a customer’s online presence and marketing objectives.

KIA DEV SOLS LLC does not guarantee:

  • Specific search engine rankings

  • A specific number of leads

  • A specific number of sales

  • Specific advertising results

  • Guaranteed return on investment

  • Guaranteed traffic levels

  • Approval of advertising accounts

  • Approval by third-party platforms

Search engines, advertising platforms, social networks, and other third parties may change their policies, algorithms, pricing, availability, or functionality at any time.

Advertising spend paid to third-party advertising platforms is separate from KIA DEV SOLS LLC service fees unless otherwise stated in writing.

9. Graphic Design and UI/UX Services

The number of concepts, revisions, and final deliverables included in a project will be determined by the applicable quotation or agreement.

An audit or test does not guarantee that every error, vulnerability, defect, performance issue, or future problem will be identified.

11. Project Timelines

Any timeline provided by KIA DEV SOLS LLC is an estimate unless a specific completion date is expressly agreed upon in writing.

12. Payments

14. Intellectual Property

Unless otherwise stated in writing, KIA DEV SOLS LLC retains ownership of its pre-existing materials, tools, frameworks, reusable code, templates, processes, methodologies, libraries, and other intellectual property used to provide services.

Upon receipt of full payment for applicable deliverables, ownership or usage rights for the specific final deliverables will be transferred or licensed to the customer as specified in the applicable project agreement.

Third-party software, plugins, libraries, fonts, stock images, APIs, themes, and other third-party materials remain subject to their respective licenses and terms.

15. Customer-Supplied Materials

Customers retain ownership of materials they provide to KIA DEV SOLS LLC, subject to any applicable third-party rights.

By providing materials to us, customers represent that they have the necessary rights and permissions to use those materials for the intended project.

Customers authorize KIA DEV SOLS LLC to use those materials as reasonably necessary to provide the contracted services.

16. Portfolio and Marketing Use

Unless otherwise agreed in writing, KIA DEV SOLS LLC may identify completed projects as examples of its work and may display non-confidential portions of completed work in its portfolio, website, presentations, or marketing materials.

Customers may request that specific projects remain confidential or not be publicly displayed.

Any confidentiality requirements should be communicated and agreed upon in writing.

17. Third-Party Services

Projects may depend on third-party services, platforms, software, hosting providers, APIs, payment processors, advertising platforms, app stores, or other external providers.

KIA DEV SOLS LLC is not responsible for changes, outages, restrictions, pricing changes, account suspensions, policy changes, or other actions taken by third-party providers.

Customers may be required to maintain their own accounts and subscriptions with applicable third-party providers.

18. Security and Access

When customers provide access to websites, hosting accounts, software systems, advertising accounts, or other platforms, they are responsible for providing appropriate authorization.

KIA DEV SOLS LLC will use reasonable measures to protect account information and access credentials received for project purposes.

Customers should not provide unnecessary passwords or sensitive information through ordinary email or website forms.

19. Customer Content and Legal Compliance

Customers are responsible for the legality, accuracy, and ownership of content, products, services, claims, advertisements, and materials they provide or request us to publish or promote.

KIA DEV SOLS LLC may refuse to create, publish, promote, or distribute content that we reasonably believe violates applicable law, third-party rights, platform rules, or our service requirements.

20. Cancellation and Termination

Either party may terminate a project or service arrangement in accordance with the applicable written agreement.

If a customer cancels a project after work has begun, the customer may remain responsible for work already completed, approved milestones, non-refundable third-party expenses, and other amounts that are due under the applicable agreement.

KIA DEV SOLS LLC may suspend or terminate services for non-payment, material breach of these Terms, misuse of services, unlawful activity, or other circumstances permitted by the applicable agreement or law.

21. Refunds

Refunds are governed by the KIA DEV SOLS LLC Refund Policy and any specific written agreement applicable to the customer’s project.

Because many of our services involve customized work, development time, design work, consultation, or digital deliverables, refund eligibility may depend on the amount and stage of work completed.

Customers should review the applicable Refund Policy before purchasing services.

22. Disclaimer of Warranties

Our website and services are provided subject to the terms of the applicable service agreement.

To the extent permitted by applicable law, KIA DEV SOLS LLC does not guarantee that:

  • The website will always be available without interruption

  • Third-party services will always operate without interruption

  • Software will be completely free from defects

  • Search engine rankings will reach a particular position

  • Marketing campaigns will produce a particular result

  • A website or application will be compatible with every device, browser, system, or future software version

  • Customer-provided content or materials

  • Customer’s violation of applicable law

  • Customer’s infringement of third-party rights

  • Customer’s misuse of our services

  • Customer’s violation of these Terms

This provision does not apply to the extent a claim is caused by KIA DEV SOLS LLC’s own unlawful conduct or obligations that cannot legally be transferred to the customer.

25. Confidentiality

Each party may receive confidential business, technical, financial, or project information from the other party.

Both parties agree to use reasonable care to protect confidential information and to use it only for purposes related to the applicable business relationship.

Confidentiality obligations do not apply to information that:

  • Is publicly available through no breach of obligation

  • Was already lawfully known

  • Is independently developed

  • Is lawfully received from another source

  • Must be disclosed by law or legal process

32. Entire Agreement

These Terms, together with any applicable proposal, quotation, statement of work, service agreement, refund policy, privacy policy, and other written agreements between KIA DEV SOLS LLC and the customer, constitute the applicable agreement regarding the services.

If there is a conflict between these Terms and a specific written service agreement, the specific written agreement will control to the extent of the conflict.
